Nothing on this Website constitutes a binding offer to perform services; all service engagements require a separate signed contract.

The Company's total aggregate liability to you for any claims arising out of or relating to these Terms or your use of the Website shall not exceed the greater of (a) one hundred Canadian dollars (CAD $100.00) or (b) the amount you have paid to the Company, if any, in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits the Company's liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Cryosnax Fdf Ltd., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your breach of these Terms, (b) your violation of any applicable law or regulation, (c) your infringement of any third-party intellectual property or privacy right, or (d) any information you submit through the Website.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved within thirty (30) days through negotiation, either party may submit the dispute to binding arbitration in accordance with the Arbitration Act, 1991 (Ontario). The arbitration shall take place in Ottawa, Ontario, and shall be conducted in the English language. The arbitration award shall be final and binding on both parties.

Notwithstanding the foregoing, the Company may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement of its intellectual property rights.

12. Termination

The Company reserves the right to suspend or terminate your access to the Website at any time, without notice, for any reason, including but not limited to your breach of these Terms. All provisions of these Terms that by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible, and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cryosnax Fdf Ltd. regarding your use of the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Website.

15. Waiver

The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by an authorized representative of the Company.
